  • Structuring and effectuating the sale and purchase of businesses, assets or divisions and joint ventures.
  • Representing companies and individuals in debt and equity financing.
  • Representing health care entities, including surgery centers, diagnostic facilities, oncology centers and catheterization laboratories.
  • Auditing and analyzing arrangements to ensure that clients assume minimum risk under fraud and abuse, fee-splitting statutes, Stark II, related anti-referral laws and Medicare and Medicaid rules and regulations.
  • Resolving various business disputes between partners and/or unrelated third parties.
  • Frequently advises clients on licensure and disciplinary actions, professional liability/risk management issues, and medical records/patient confidentiality issues.
  • Frequently provides advice regarding wealth preservation for high net worth individuals.
  • Providing counsel to medical practices regarding compliant programs which increase profits and compensation.
